EVALUATION AGREEMENT

WHEREAS, the trade association known as the National Association of Animal Breeders (NAAB) has endorsed industry guidelines for Artificial Insemination (AI) Center Management Practices which accentuate the AI industry's concern for the humane treatment of bulls enrolled in AI programs, and

WHEREAS, Certified Semen Services, Inc. (hereinafter referred to as "CSS") a wholly owned subsidiary of NAAB was established for the purpose of providing participating businesses with an objective auditing (inspection) service and to establish rules standards and procedures, and

WHEREAS, the Board of Directors of CSS have adopted "CSS Guidelines for AI Center Management Practices" and have approved a voluntary program for evaluating participating AI businesses' compliance with said guidelines,

NOW THEREFORE, CSS and the undersigned CSS participating AI business do hereby agree as follows:

1. The undersigned AI Business does expressly authorize CSS, its employees, or representatives who are duly authorized by the CSS Board of Directors to examine pertinent records and facilities owned by the AI Business for the purpose of evaluating compliance with "CSS Guidelines for Artificial Insemination Center Management Practices".

2. CSS will provide a complete evaluation report of AI Center Management Practices to the President and Manager of the AI Business identifying any deficiencies and with specific recommendations for improvements, within 30 days following completion of the audit. A copy of the evaluation report will be maintained in the CSS file for the AI Business.

3. The undersigned CSS participant agrees to pay an annual fee of $150.00 per location (per CSS Definition of Terms) for the AI Center Management Practices Evaluation service. The annual fee will be due and payable within sixty (60) days following the beginning of each calendar (agreement) year.

4. It is understood the agreement period is for the calendar year, ending December 31. The agreement is automatically renewed effective January 1 of each subsequent year unless CSS or the undersigned CSS participant elects to terminate the agreement. If the agreement is terminated the previously paid fee(s) will not be refunded.
